Terms of service
Last updated: [DATE]
[PLACEHOLDER] This is an outline of the clauses the agreement needs, not an agreement. It has not been reviewed by a lawyer and must not be relied on. Final wording has to come from counsel.
Terms of service
Parties and acceptance
[PLACEHOLDER] Identify the contracting entity and state how a hotel accepts the terms — on signature of an order form, or on first use of the console.
The service
[PLACEHOLDER] Describe the service by reference to what is actually provided: guest entry, WhatsApp check-in including identity capture, housekeeping requests, in-house dining ordering, the unified ops queue, front-desk checkout and the post-stay feedback and review request.
[PLACEHOLDER] State explicitly that roadmap features are not part of the service until released, and that nothing on the website constitutes a commitment to deliver them.
Customer responsibilities
[PLACEHOLDER] Cover the hotel's obligations: lawful use, accuracy of guest data, obtaining any consent required to message guests, compliance with WhatsApp Business Platform policies, and account and user management.
Third-party platforms
[PLACEHOLDER] State that message delivery depends on the WhatsApp Business Platform, that Meta's policies and pricing apply, and allocate the risk of a platform change or suspension.
Fees and payment
[PLACEHOLDER] Fees, billing period, currency, taxes, late payment, and whether WhatsApp conversation charges are rebilled or billed directly to the hotel by Meta.
Data protection
[PLACEHOLDER] Reference the data processing agreement, confirm the hotel is controller and Welvoy is processor for guest data, and incorporate the sub-processor list.
Availability and support
[PLACEHOLDER] State any service level actually offered, support hours and the channel. Do not state an uptime figure that is not measured and backed.
Intellectual property
[PLACEHOLDER] Ownership of the platform, the licence granted to the hotel, and ownership of hotel and guest content.
Confidentiality
[PLACEHOLDER] Mutual confidentiality obligations and exclusions.
Warranties and disclaimers
[PLACEHOLDER] Limited warranty as to the service, and disclaimers to the extent the governing law permits.
Limitation of liability
[PLACEHOLDER] Liability cap, excluded losses, and the carve-outs that cannot lawfully be limited.
Term, suspension and termination
[PLACEHOLDER] Term, renewal, notice periods, suspension grounds, and what happens to guest data on termination, including an export window and a deletion deadline.
Governing law and disputes
[PLACEHOLDER] Governing law, jurisdiction and dispute resolution.
Changes to these terms
[PLACEHOLDER] How changes are notified and when they take effect.
